The Remuneration Consultants Group (RCG) has appointed two independent non-executive directors, William Claxton-Smith and Philippa Hird.

The RCG, which develops the voluntary code of conduct for executive remuneration consultants, now comprises an independent chairman, two non-executive directors and four elected representatives of member firms.

Claxton-Smith was head of corporate governance at Insight Investment (formerly Clerical Medical). A former fund manager, he has more recently worked with investee organisations and those able to influence the environment in which they operate, including the effect of financial regulation.

Hird is currently a non-executive director of HM Revenue and Customs and was formerly group HR director at ITV. She has a range of commercial and public sector experience, with a specialist interest in remuneration and governance.

Dr Martin Read, independent chairman of the RCG, said: “I am delighted William and Philippa have agreed to join the RCG. They will make an important contribution to the development of the code of conduct and activities of the group.

“They bring critical perspectives from the worlds of institutional shareholders and human resources to complement the depth of experience on the committee regarding the complex issues of governance and remuneration.”

The formal review of the RCG’s code of conduct will be completed towards the end of 2011.
